1. Definitions
In these Terms and Conditions:
- "Company," "We," "Our," "Us" refers to Beacon Strategy, a business consulting firm registered in Malaysia
- "Client," "You," "Your" refers to any individual or entity engaging our services or using our website
- "Services" refers to all consulting services offered by Beacon Strategy, including turnaround planning, talent strategy consultation, and quarterly business review facilitation
- "Agreement" refers to these Terms and Conditions along with any specific engagement letter or proposal
- "Website" refers to our website at beaconstense.cyou
2. Acceptance of Terms
By accessing our website, contacting us, or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our services or website.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.
3. Service Description
Beacon Strategy provides professional business consulting services, including but not limited to:
- Turnaround Planning and Business Recovery
- Talent Strategy Consultation
- Quarterly Business Review Facilitation
- Strategic Advisory Services
Services are provided based in Kota Kinabalu, Sabah, Malaysia, with availability for clients throughout Malaysia. Specific service scope, deliverables, and timelines will be outlined in individual engagement proposals.
4. Engagement Process
All consulting engagements follow this process:
- Initial consultation to understand your needs (no charge)
- Written proposal outlining scope, deliverables, timeline, and fees
- Client acceptance of proposal (written or electronic)
- Commencement of work following any required advance payment
- Regular progress updates and communication
- Delivery of agreed deliverables
- Final payment and engagement closure
5. Client Responsibilities
To enable us to provide effective services, you agree to:
- Provide accurate and complete information relevant to the engagement
- Make decisions and provide feedback within reasonable timeframes
- Ensure appropriate personnel are available for meetings and discussions
- Provide access to necessary documents, data, and resources
- Make payments according to agreed terms
- Respect confidentiality of our methodologies and proprietary materials
6. Fees and Payment
Our fees are quoted in Malaysian Ringgit (RM) and are specified in each engagement proposal. Payment terms include:
- Fees are project-based unless otherwise specified
- A deposit may be required before work commences (typically 30-50%)
- Balance due upon completion or according to milestone schedule
- Payment is due within 14 days of invoice date unless otherwise agreed
- Late payments may incur interest at 1.5% per month
- All fees are exclusive of applicable taxes (SST where applicable)
Travel and out-of-pocket expenses for engagements outside Kota Kinabalu will be discussed and agreed in advance.
7. Intellectual Property
Our IP: All methodologies, frameworks, templates, and proprietary materials developed by Beacon Strategy remain our property. Clients receive a non-exclusive, non-transferable license to use deliverables for their internal business purposes.
Client IP: All information, data, and materials provided by clients remain their property. We will not use client-specific information for other purposes without permission.
Work Product: Deliverables created specifically for a client engagement become the client's property upon full payment, except for our underlying methodologies and frameworks.
8. Confidentiality
We treat all client information as confidential and will:
- Not disclose client information to third parties without consent
- Use client information only for the purposes of the engagement
- Implement reasonable security measures to protect client data
- Return or destroy client materials upon engagement completion if requested
We are happy to sign non-disclosure agreements (NDAs) upon request before any substantive discussions.
9. Disclaimers
Our consulting services are advisory in nature. While we strive to provide valuable guidance:
- We do not make predictions or commitments about specific business outcomes
- Implementation of recommendations is at the client's discretion and risk
- Our advice does not constitute legal, financial, or accounting advice
- Past results with other clients do not predict future outcomes
- Business success depends on many factors beyond our control
10. Limitation of Liability
To the maximum extent permitted by Malaysian law:
- Our total liability for any claim arising from an engagement shall not exceed the fees paid for that engagement
- We shall not be liable for indirect, consequential, incidental, or punitive damages
- We shall not be liable for losses arising from client decisions based on our recommendations
- We shall not be liable for delays or failures caused by circumstances beyond our reasonable control
11. Termination
Either party may terminate an engagement:
- By mutual written agreement
- With 14 days written notice for ongoing engagements
- Immediately if the other party materially breaches these terms and fails to remedy within 7 days of notice
Upon termination, the client shall pay for all work completed up to the termination date. We will provide all completed deliverables upon receipt of outstanding payments.
12. Dispute Resolution
In the event of any dispute:
- Parties shall first attempt to resolve the matter through good faith negotiation
- If negotiation fails, parties may agree to mediation through the Malaysian Mediation Centre
- These Terms are governed by the laws of Malaysia
- The courts of Sabah, Malaysia shall have exclusive jurisdiction
13. General Provisions
Entire Agreement: These Terms, together with any engagement proposal, constitute the entire agreement between the parties.
Severability: If any provision is found unenforceable, the remaining provisions shall continue in effect.
Waiver: Failure to enforce any right shall not constitute a waiver of that right.
Assignment: Neither party may assign their rights or obligations without the other party's written consent.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Existing engagements will continue under the terms in effect at the time of engagement unless mutually agreed otherwise.
